Public Offerings and NewConnect market

IPO (initial public offering) is when a company issues its shares to the public for the first time. Both existing shares and shares of the new issue may be the subject of IPO. The company's debut on the stock exchange requires a number of preparatory activities. The most important IPO process components are: the appropriate structuring of relationships existing between the company and its shareholders, valuation of the company, working out an optimal structure of the public offering in view of the adopted development strategy and company's investment plans as well as drawing up the prospectus and proceedings before the Financial Supervision Authority.

Once the issue prospectus is approved by the Financial Supervision Authority, the stage of placement of shares among potential investors may start. In this phase special attention is paid to professional presentation of the company and its management. The key factors that determine successful public offering include direct contact with institutional investors, presentation of the analytical report by analysts from a stock brokerage house as well as the management presentation on the company's development prospects.

Based on our experience, we can say that proper preparation for the process of going public accompanied by a professional presentation of company's management allows for either elimination or mitigation of a number of relevant risks which are typically pointed out by potential investors and for optimization of company's market valuation.

The NewConnect market is a new alternative trading platform organized and operated by the Warsaw Stock Exchange which is intended for high-growth smaller companies which intend to turn innovations (of products, services, business processes) into their competitive advantage. For companies interested in the New Connect, we offer services of an Authorized Adviser, providing assistantce in the process of both private placement as well as introduction of company's securities to the Alternative Trading System.

In co-operation with BRE Bank Securities and an experienced legal advisor we offer comprehensive implementation of projects, including:

  • Preparation of a company for the purpose of the non-public offer and introduction of securities to the Alternative Trading System
  • Preparation and implementatin of non-public offer
  • Introduction of securities to the Alternative Trading System

    In February 2008 BRE CF together with BRE Bank Securities advised in the process of initial public offering of Optopol Technology S.A. The value of the offer amounted to 66 mln PLN. The IPO encompassed solely the equity increase.

    In December 2007 BRE CF together with BRE Bank Securities advised in the process of initial public offering of Nepentes S.A. The value of the offer amounted to 76 mln PLN. The transaction included both equity increase and the sale of part of company's shares by current shareholders.

     

  • Seco Warwick S.A.
    Client: Seco Warwick S.A.

    In December 2007 BRE CF together with BRE Bank Securities advised in the process of initial public offering of SecoWarwick S.A. - a leading manufacturer of industrial heat treatment equipment and nonferrous reverb melting and holding systems. The value of the offer amounted to 99 mln PLN. The transaction included both equity increase and the sale of part of company's shares by current shareholders.

     

  • Eurofilms S.A.
    Client: Eurofilms S.A.

    In September 2007 BRE CF together with BRE Bank Securities advised in the process of a merger of a public company Eurofilms S.A. and a non-public company Ergis S.A. The value of the transaction amounted to 218 mln PLN.

    In September 2007 BRE CF together with BRE Bank Securities advised on the secondary public offering of ATM S.A. The value of the offer amounted to 157 mln PLN.

    In June 2007 BRE CF together with BRE Bank Securities advised in the process of initial public offering of Komputronik S.A. The value of the offer amounted to 62 mln PLN.     In April 2007 BRE CF together with BRE Bank Securities advised in the process of a merger between two public companies: Polimex Mostostal S.A. and ZREW S.A. and an acquisition of Energomontaż Północ S.A. The value of the transaction amounted to 390 mln PLN.

    In March 2007 BRE CF together with BRE Bank Securities advised in the process of initial public offering of ES-System S.A. The value of the offer amounted to 67 mln PLN.
